RETT share-transfer checker (Saudi real estate companies)

Selling shares can be a property sale. If real estate held for sale or lease is half the company's assets at market value, and 30% or more changes hands within three years, 5% RETT is due. Run both tests and the base.

Taxable: a real estate company (66.67%) and 40% transferred. Due on the earlier of transfer or unconditional agreement; pay within 30 days. The base is the higher of the market value of all the company’s real estate × the percentage transferred (SAR 32,000,000) and the price allocated to the real estate (SAR 28,000,000). Group, in-kind contribution and share-for-share M&A exemptions can apply, each with a five-year holding condition.
